Global Terms and Conditions for Commodity Insights Virtual Events

These terms and conditions of attendance ("Terms") shall govern an attendee's ("Attendee" or "you") registration to attend an online conference or event ("Event") hosted by S&P Global Commodity Insights, a division of S&P Global Inc. a New York corporation, with offices at 55 Water Street, New York, New York 10041 ("Commodity Insights"). These Terms shall be read together with the S&P Global Privacy Policy which is incorporated into these Terms as if set out here in full.

1) FEES — All fees for Event registration ("Fees") are quoted and payable to Commodity Insights in United States Dollars by bank transfer or by credit card, in cleared funds, by the earlier of (i) thirty (30) days following Commodity Insights date of invoice to Attendee; or (ii) prior to commencement of the Event. Fees may also be paid by cheque, provided that the cheque has been received and cleared by Commodity Insights prior to commencement of the Event. The Attendee acknowledges and agrees that it will be responsible for the payment of any bank fees or other administrative charges which are levied in respect of the Fees and that any such charges will be in addition to the amount of Fees payable to S&P Global Commodity Insights. In consideration of payment of the Fees, Attendee shall receive all documents, written materials, hospitality, and refreshments made available to Attendees at the Event. For the avoidance of doubt, Fees do not include Attendee transportation to, or accommodation at, the Event. Failure to pay the Fees by the required time will result in the Attendee being deemed to have cancelled their registration.

2) TAX — The Fees and charges quoted are exclusive of all applicable value-added, sales, use, and similar taxes. All payments made by the Attendee shall be made free and clear of, and without deduction or withholding for taxes imposed by any governmental authority.

3) DISCOUNTS — Discounts or promotional offers cannot be combined, unless otherwise stated, and must be applied at the time of original registration (and cannot be applied retroactively). Verification of discount eligibility may be required.

4) COMMODITY INSIGHTS DISCRETION AS TO ATTENDANCE — Commodity Insights reserves the right to refuse an Attendee's admission to the Event, at its sole discretion. In the event that Commodity Insights refuses admission to an Attendee who has registered for an Event, Commodity Insights will refund the pro-rata portion of any unearned Fees paid by that Attendee.

5) ATTENDEE CANCELLATION — The Event registration is personal to you and you may not transfer your registration to anyone, nor are you able to cancel your registration for the Event.

6) COMMODITY INSIGHTS CANCELLATION — Commodity Insights is entitled to cancel the Event by email notice to the Attendee (a) for any reason twenty one (21) days before the first day of the Event or (b) for reasons of Force Majeure (which term is defined as any circumstance, not within Commodity Insights reasonable control including, without limitation, acts of nature, flood, drought, earthquake, severe or adverse weather conditions, or other natural disasters, epidemic or pandemic, terrorist attack, civil war, civil commotion or riots, war, threat or preparation of war, armed conflict, imposition of sanctions, embargo, breaking off of diplomatic relations, nuclear, chemical or biological contamination, any law or action taken by a government or public authority, fire, explosion, collapse of buildings or accident, labour or trade dispute, strikes, industrial action or lockouts and interruption or failure of utility services) at any time. Commodity Insights liability for such cancellation is limited to a refund of the Fees already paid by the Attendee at that time.

7) EVENT PROGRAM — Commodity Insights reserves the right to make reasonable alterations to the advertised Event program, agenda, and to the list of speakers and presenters at any time and without prior notice.

8) VIRTUAL PARTNERS —

a) For any program that Commodity Insights makes available to you through mediums including but not limited to Zoom, Microsoft Teams, 6Connex, InEvent, ON24 and/or Intrado ("Virtual Partners"), you understand and agree that your use of our Virtual Partners' services is subject to the Virtual Partners' privacy policies. Commodity Insights is not responsible or liable for the information you choose to disclose and/or share through our Virtual Partners, or to other attendees and/or sponsors, or for compliance with their privacy policies.

b) You acknowledge and agree that, during interaction with our Virtual Partners, some data will be disclosed to other participants and to Event hosts. For instance, when you attend a meeting, your name might appear on the attendee list. If you turn on your video camera, your image will be shown. If you send a chat or share content, that can be viewed by others in the chat or the meeting. By continuing your registration and by attending the Event, you acknowledge and agree that Commodity Insights may choose to record the session, and if so, your registration and attendance at the said event will constitute your consent for being recorded and your understanding of Commodity Insights ownership of any and all recordings. In addition, by continuing your registration and/or by attending the Event, you are acknowledging your understanding and agreement to not personally, or otherwise, record any portion of the Event.

9) PRIVACY — Commodity Insights values your privacy. The processing of your personal data by Commodity Insights is governed by the S&P Global Privacy Policy. By submitting your contact details and opt-in preferences in registering for the Event you may be agreeing to Commodity Insights sharing information with the sponsor(s) of the Event. If you would like to opt-out of receiving communications from Commodity Insights, have questions about our privacy practices or need to confirm the accuracy of your information, please contact the S&P Global Inc. Data Privacy Officer at +1-434-529-2871 or e-mail privacy@spglobal.com. For more information or to adjust your privacy preferences accordingly, visit S&P Global Privacy Policy. If you would like to opt-out from receiving communications from sponsors of the Event, you should refer to the individual sponsor's own privacy policy.

10) NOTICES — All notices required hereunder shall be served by email to (i) Commodity Insights at plattslegalnotices@spglobal.com and (ii) the Attendee at the address provided by/on behalf of the Attendee when registering for the Event. Such notice shall be deemed served on the first Working Day after the day upon which it can be shown it was sent to the correct email address if no message failure notice has been received in such regard.

11) LIABILITY —

a) Notwithstanding any losses which cannot be excluded or limited by applicable law, Commodity Insights excludes all warranties and conditions whether expressed or implied by statute, common law or otherwise to the extent permitted by law. IN NO EVENT WHATSOEVER SHALL COMMODITY INSIGHTS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, OR LOST TIME OR GOODWILL, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE. A reference to a particular investment, security, rating or any observation concerning a security or investment provided in the EVENT is not a recommendation to buy, sell or hold such investment or security or make any other investment decisions AND DOES NOT ADDRESS THE SUITABILITY OF ANY INVESTMENT OR SECURITY. YOU should NOT rely on any INDEX, BENCHMARK, price assessment, observation, OPINION or other information DELIVERED IN RELATION TO THE EVENT in making any investment or other decision. THE EVENT IS NOT A SUBSTITUTE FOR THE SKILL, JUDGMENT AND EXPERIENCE OF SUBSCRIBER, ITS MANAGEMENT, EMPLOYEES, ADVISORS AND/OR CLIENTS IN MAKING INVESTMENT AND OTHER BUSINESS DECISIONS.

b) In consideration of the Attendee's registration for and participation in the event, the Attendee agrees and represents that they are the age of majority or older and freely waive, release from liability, assume all risks, and covenant not to sue Commodity Insights and their respective owners, officers, employees, successors and assigns for any expense, loss, damage, personal injury that the Attendee may hereafter suffer or sustain before, during, or after the event, unless the expense, loss, damage or personal injury is directly caused by the sole, gross negligence of Commodity Insights. The foregoing waiver and release is specifically binding upon the Attendee's heirs and assigns. The views expressed by any event attendee, speaker, exhibitor, or sponsor are not necessarily those of Commodity Insights. All attendees, speakers, exhibitors, and sponsors are solely responsible for the content of all of their individual or company presentations, marketing collateral, and/or advertising.

c) The Attendee shall indemnify and hold harmless Commodity Insights, its affiliates and Commodity Insights employees, directors, officers, representatives and agents from any and all claims, damages, liabilities and expenses (including, without limitation, reasonable legal expenses and court costs) arising out of or in relation to (i) any bodily injuries or harm or property damage caused by Attendee or any of its personnel in connection with the Event, (ii) the breach of these Terms by the Attendee or (iii) the negligence or willful misconduct of the Attendee.

12) INTELLECTUAL PROPERTY RIGHTS — The Attendee acknowledges and agrees that all Event materials, documents and any other literature provided prior to or during an Event ("Materials") remain the sole exclusive property of Commodity Insights and/or its licensors and/or sponsors of the Event. Each Attendee acknowledges and agrees that no copying, recording or re-distribution of the Materials, or any part thereof, is permitted unless otherwise authorized by Commodity Insights or the sponsor of the Event (as applicable) in writing.

13) RECORDING AND PHOTOGRAPHY — The Attendee acknowledges and agrees that photography, filming and recording (including but not limited to, screen captures) are prohibited during all Event sessions and throughout the Event.

14) CONTENT OF THE EVENT —

a) The statements and opinions expressed by non-Commodity Insights employees are their own and do not necessarily reflect the views of Commodity Insights. This conference may be recorded and your registration indicates your consent to be recorded and to the reproduction, editing, publication, distribution or other use by Commodity Insights and/or their successors and assigns, of your name, photograph, likeness, voice, and personal or biographical data for publication and for informational, promotional, advertising or other purposes. You hereby release Commodity Insights, their respective owners, officers, employees, successors and assigns from any and all claims that you might have in connection with any such use of your name, photograph, likeness, voice, personal or biographical data.

b) By registering for the event, you acknowledge that Commodity Insights owns all event content, materials and recordings. You grant to Commodity Insights the non-exclusive, fully paid, royalty-free, irrevocable and worldwide license and right to reproduce, perform, display, distribute, adapt, modify, reformat, create derivative works of and otherwise commercially or non-commercially exploit in any manner all event content, materials, recordings and user-generated content (which term is set out in clause 15 below) in any and all media. You will not receive any compensation from Commodity Insights or otherwise, connection with user-generated content and Commodity Insights use of event content, materials and recordings, and/or user-generated content, to the maximum extent permitted by applicable law.

15) USER GENERATED CONTENT — The Attendee:

a) warrants that any content that is submitted, reprinted, copied, submitted, posted or uploaded on social media will not infringe Commodity Insights privacy rights, will not infringe Commodity Insights copyright, Commodity Insights trademarks or any other of Commodity Insights intellectual property rights;

b) warrants that they have obtained the consent of any third party who appears, or is referred to, in any content that is submitted, reprinted, copied, submitted, posted or uploaded to the internet, including obtaining the written permission of the subject of a photograph from the Event prior to uploading that picture to the internet;

c) agrees to indemnify Commodity Insights as set forth in Section 11 in respect of any loss or damage arising from claims brought by a third party alleging a breach of any of the warranties outlined in this Section 15 of these Terms; and

d) agrees to assign all intellectual property rights in any user-generated content created by the Attendee at an Event to Commodity Insights and/or its licensors (as appropriate), including all permissions to enable Commodity Insights and/or its licensors to use such content as it sees fit, and to undertake all acts necessary in order to give effect to the assignment.

e) will not: (i) post or transmit any user generated content that is unlawful, threatening, abusive, libelous, defamatory, tortious, obscene, vulgar, pornographic, harassing, profane, invasive of another's privacy, indecent, bigoted, hateful, or racially, ethnically, sexually or otherwise offensive; (ii) impersonate any person or entity or falsely state or otherwise misrepresent their professional or other affiliation with any person or entity; (iii) post or transmit any user generated content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party; (iv) disrupt others' normal use of the Virtual Partners' services for the event; (v) post or transmit any information, software or other material which contains a virus or other harmful component; (vi) post, transmit, or in any way exploit any information, software or other material for commercial or political purposes; (vii) post or transmit any information, software or other material which contains advertising (including but not limited to "junk mail" or "pyramid schemes"), or any other form of solicitation; or (viii) use the event to violate or attempt to violate, or assist any other person or entity in violating or attempting to violate, any contractual obligations they have with Commodity Insights, including, without limitation, any confidentiality, non-solicitation or non-competition agreements.

16) NO PUBLICITY — The Attendee acknowledges and agrees that it must not use Commodity Insights names or marks in any publicity, advertising, public announcements, marketing materials, web sites or other materials.

17) LAW AND COURTS — These Terms and all claims arising out of or relating to these Terms shall be interpreted, construed and enforced in accordance with the applicable federal laws of the United States and the laws of the State of New York without giving effect to the conflicts of laws provisions thereof. The parties hereto and their successors and assigns consent to the exclusive jurisdiction of any courts located in the State of New York, County of New York, for the resolution of any disputes arising from or related to these Terms, and waive any claim of inconvenient forum.

18) ANTI-TRUST COMPLIANCE — Commodity Insights is committed to full compliance with all applicable antitrust laws. In particular, Commodity Insights expects Attendees to be aware of, understand, and comply with all anti-trust laws and not to use an Event to coordinate their commercial activities. Any activity that could create an appearance of a restriction upon or a distortion of competition must be avoided. Though the following is not an exhaustive list nor is to be taken in any respect as advice on your anti-trust law responsibilities, Commodity Insights will not accept any discussions/exchanges of information about any participant's individual, current or future: (i) prices (including discounts, rebates and reductions); (ii) costs; (iii) profits and profit margins; (iv) capacity, output and sales; (v) supply and demand forecasts; (vi) market shares and sales territories; (vii) investments and marketing plans; or (viii) unannounced capital expansion closure plans. Commodity Insights reserves the right to remove Attendees from an Event who it believes do not comply with anti-trust laws.

19) SEVERABILITY AND INCONSISTENCY — If any provision of these Terms is or becomes invalid, illegal or unenforceable, the remaining provisions of these Terms shall not be affected or impaired and the invalid, illegal or unenforceable provision shall be deemed to be modified to the minimum extent necessary to make it valid, legal and enforceable.

20) ENTIRE AGREEMENT — These Terms constitutes the entire understanding between the parties and supersedes all prior agreements, understandings and representations between the parties.
