Spanish construction materials company Molins has agreed to acquire Portuguese cement producer Secil Companhia Geral de Cal e Cimento, S.A. for Eur1.4 billion, a deal that will expand the buyer's footprint into Brazil's growing construction market while strengthening its European operations.

The transaction is expected to close in the first quarter of 2026, Molins said in a statement Dec. 19.

"Molins will strengthen its presence in Europe, enter the Brazilian market, expand its global footprint, diversify revenue, and reduce exposure to currency volatility," the statement said. "This acquisition also accelerates Molins' sustainability roadmap by leveraging the combined technical expertise and innovation capabilities. Both companies share a strong commitment to decarbonization, with Secil's targets aligned with the Science Based Targets initiative."

Secil, headquartered in Lisbon, operates in eight markets with an annual cement production capacity of approximately 10 million metric tons.

"This agreement is a key milestone in Molins' strategy," Marcos Cela, CEO of Molins, said. "Secil brings a solid international presence and a strong culture rooted in its family-owned industrial legacy, with values that we deeply share. Together we will expand our offer of high-value, circular and low-carbon solutions for our customers, creating new opportunities for our people."
