ACNB shareholders OK proposal related to fixing board size

At theirannual meeting held May 3, ACNBCorp. shareholders approved fixing the number of the Gettysburg,Pa.-based company's directors at 13.

There were4,271,301 votes in favor of the proposal, and 103,782 votes against. There were53,645 abstentions, according to a Form 8-K filed May 5.

Shareholdersalso voted to fix the number of class 1 directors at five, the number of class2 directors at four and the number of class 3 directors at four.

Theproposal related to the number of class 1 directors got 4,236,624 votes infavor and 140,747 votes against. There were 51,357 abstentions.

Theproposal related to the number of class 2 directors was approved by a vote of4,239,834-135,794, with 53,100 abstentions.

There were4,205,986 votes in favor of the proposal related to the number of class 3directors, 169,906 against it, and 52,836 abstentions.
