Farmland Partners, American Farmland to hold merger vote in January 2017

The respective shareholders of Farmland Partners Inc. and American Farmland Co. will vote on the companies' pending merger at separate special meetings Jan. 31, 2017, according to a proxy filing.

Under the stock-for-stock deal, each American Farmland common share and operating partnership unit will be converted into the right to receive 0.7417 share of newly issued Farmland Partners' common stock.

The deal would create the largest public farmland REIT, with more than 133,000 acres across 16 states, and the merged company will have a portfolio of roughly 75% row crop farmland and 25% specialty crops by value.

In conjunction with its proposed acquisition of American Farmland, Farmland Partners filed a registration statement for the sale of 15,029,202 common shares, representing an estimated aggregate offering price of about $157.9 million.
