EVO Payments to offer class A common shares

EVO Payments Inc. intends to sell 4 million shares of its class A common stock in an underwritten offering.

The company plans to use the net proceeds from the offering to purchase limited liability company interests in EVO Investco LLC and an equivalent number of EVO Payments class B common shares from Blueapple Inc. The net proceeds will also be used to acquire LLC interests in EVO Investco and an equivalent number of EVO Payments class D common shares from entities affiliated with Madison Dearborn Partners LLC.

BofA Merrill Lynch and Barclays are acting as the joint underwriters for the proposed offering, according to a news release.
