J.F. Lehman affiliates close sale of NRC Group to blank check company

Hennessy Capital Acquisition Corp. III finalized its purchase of NRC Group Holdings LLC from investment affiliates of middle-market private equity firm J.F. Lehman & Co. LLC, following approval from the buyer's shareholders.

The buyer rebranded as NRC Group Holdings Corp. as part of the deal, and NRC Group CEO Christian Swinbank will stay in that role at the merged entity. The post-merger company's common stock and warrants will start trading on the NYSE American exchange under the tickers NRCG and NRCG WS, respectively, effective Oct. 18.

Hennessy Capital is a blank check company formed by Daniel Hennessy. NRC Group provides environmental, compliance and waste management services to the marine and rail transportation, general industrial and energy sectors.

Credit Suisse Securities (USA) LLC and Stifel were capital markets advisers to Hennessy Capital on the deal, with Nomura Securities International Inc. serving as financial adviser and committed equity financing provider. Sidley Austin LLP and Ellenoff Grossman & Schole LLP were its legal counsel.

Stifel and Houlihan Lokey Capital Inc. were the financial advisers to J.F. Lehman, while Jones Day and Blank Rome LLP were its legal counsel.
