J.F. Lehman affiliates close sale of NRC Group to blank check company

Hennessy Capital Acquisition Corp. III finalized its purchase of NRC Group Holdings LLC from investment affiliates of middle-market private equity firm J.F. Lehman & Co. LLC, following approval from the buyer's shareholders.

The buyer rebranded as NRC Group Holdings Corp. as part of the deal, and NRC Group CEO Christian Swinbank will stay in that role at the merged entity. Stifel and Houlihan Lokey Capital Inc. were the financial advisers to J.F. Lehman, while Jones Day and Blank Rome LLP were its legal counsel.
