A stockholder proposal that would have required to appoint anindependent board chairman has been rejected.

Two other shareholder proposals calling for the company toissue reports on political contributions and lobbying were also rejected.

The voting results are preliminaryand the final results will be posted when they become available, the companysaid April 29.
