Biotelemetry Inc. acquired certain assets and liabilities of Orem, Utah-based Activecare Inc. for about $3.8 million in cash.

The acquired assets were mostly customer contracts and software developed by Activecare, which provides biometric monitoring devices and services internationally.

Malvern, Pa.-based Biotelemetry acquired the company through its unit Telcare Medical Supply LLC, which also forgave debt and accounts payable to it by Activecare.

Additionally, Activecare may receive an earn-out payment of $2 million based on the achievement of certain revenue targets.
