Investor consortium buys short-line railroads operator Pioneer

A partnership between private equity firm Stephens Capital Partners, Brookhaven Rail Partners LLC and Related Fund Management LLC subsidiary Related Infrastructure bought Pioneer Railcorp Inc.

BRX Transportation Holdings LLC was formed to acquire Pioneer, which is a railroad holding company that owns short-line railroads, an equipment leasing company, two service companies and a contract services switching company. Common shares of Pioneer, which traded on the OTC Markets Group under the PRRR ticker, were converted into the right to receive $18.81 per share upon deal closing.

BRX will invest additional capital into Pioneer to enhance its current infrastructure and build its franchise through industrial development and service expansion. It also plans to acquire other short-line railroad companies.

BRX partner and industry veteran Alex Yeros will lead Pioneer as CEO, with Ross Grantham as COO and Carrie Genualdi as CFO. Grantham has over 20 years of experience managing class I and short-line railroad operations, while Genualdi was a director of finance at Genesee & Wyoming.

Arnold & Porter was legal counsel to BRX. BMO was financial adviser to Pioneer, with Briggs and Morgan PA serving as its legal adviser.
