National Interstate forms special committee to review American Financial proposal

National InterstateCorp. said April 6 that that its board appointed a special committeeto consider American Financial GroupInc.'s proposalto acquire all of the outstanding common shares of National Interstate not currentlyowned by American Financial's wholly owned subsidiary, Great American Insurance Co., for $30.00 per share in cash.

The special committee is comprised of National Interstate directorsNorman Rosenthal, I. John Cholnoky, Patrick Denzer, Donald Schwegman and Alan Spachman.

Willkie Farr & Gallagher LLP will serve as the independentlegal adviser to the special committee to assist in its review of the proposed transaction.
