Klövern finalizes cash buyout offer to Agora

Klövern AB has published the offer document for its planned acquisition of all the ordinary class A shares, class B shares and preference shares of fellow Swedish property company A Group Of Retail Assets Sweden AB (publ), or Agora.

Klövern subsidiary Dagon Sverige AB is offering 30.00 kronor apiece for the 4,689,062 class A and 23,184,669 class B shares it does not already own in Agora, and 275.00 kronor for each of the outstanding 363,640 preference shares.

The acceptance period for the offer will run from Oct. 12 to Nov. 9. Settlement is expected to begin around Nov. 16, Klövern said in a release.

Dagon has the right to extend the acceptance period and to advance or postpone the settlement date of the offer.

As of Oct. 10, US$1 was equivalent to 9.10 kronor.
