Springleaf Finance issues $1B in notes

According to a Form 8-K filed April 11, OneMain Holdings Inc. on April 6 entered into an underwritingagreement with its indirect subsidiary, SpringleafFinance Corp., as issuer, and Credit Suisse Securities (USA) LLC asrepresentative of the underwriters, relating to the issuance and sale by Springleafof $1 billion aggregateprincipal amount of its 8.250% senior notesdue 2020.

On April 11, Springleaf issued the notes under an indenture amongSpringleaf as issuer, OneMain as guarantor and Wilmington Trust NA as trustee.

Springleaf used a portion of the net proceeds to repurchase about$600 million aggregate principal amount of its outstanding notes, consisting primarilyof its 2017 notes, at a premium to principal amount from certain beneficial owners.The remaining net proceeds will be used for general corporate purposes, which mayinclude other debt repurchases and repayments.
