EnteroMedics raises $19M from unit offering

EnteroMedics Inc. closed an underwritten public offering of class A and class B units raising $19 million in gross proceeds.

The class A units were priced at $5.31 apiece and comprised 1 common share and 1 five-year warrant to purchase 1 common share with an exercise price of $5.84 per share. The class B units were priced at $1000 apiece, with each unit comprising 1 preferred share convertible into 188 common shares and warrants to purchase 188 common shares.

A total of 751,412 common shares, 12,531 preferred shares convertible into 2,359,887 common shares and warrants to purchase 3,111,299 common shares were issued in the offering. The underwriters exercised their overallotment option to buy 466,695 additional common shares and warrants to purchase up to an additional 466,695 common shares.

Ladenburg Thalmann & Co. Inc. was the sole book-running manager for the offering.
