B4 Investimenti acquires control of Italian passenger seats maker

Private equity firm B4 Investimenti SGR SpA acquired control of Lazzerini, a manufacturer of passenger seats for vehicles, through a buyout process in partnership with the company's managers.

The terms of the deal, made through the B4 H II – EuVECA Fund, were not disclosed.

Lazzerini was assisted by financial adviser K Finance, legal adviser Pedersoli Studio Legale and accounting and tax specialists Sistema.

Gianni Origoni Grippo Cappelli & Partners were legal advisers for B4 Investimenti. PwC acted as accounting and tax adviser, while Valla & Associates and Thomson Geer advised on legal matters in the U.S. and Australia, respectively. Studio Gusmitta provided assistance on tax and corporate structuring of the transaction.

Founded in 1967, Lazzerini designs, manufactures and markets passenger seats for transport vehicles primarily in the U.K., Australia, Italy, Hong Kong and New Zealand.

B4 Investimenti primarily invests in typical Italian niche products such as food, furniture and fine mechanics.
