As part ofthe deal, Altisource Portfolio Solutions agreed to provide a limited waiver ofits exclusive right to provide property management and other services toAltisource Residential related to the portfolio. In exchange for the limitedwaiver, Altisource Residential agreed, among other things, to pay AltisourcePortfolio Solutions $60 million in the event that it sells, liquidates orotherwise disposes of 50% or more of its single-family rental portfolio managedby Altisource Portfolio Solutions.
