IndustrialProperty Trust Inc. filed a Form S-11 registration statement for abest-efforts offering of a maximum of $600.0 million and a minimum of $2,000 ofits common shares, consisting of class A and class T shares.
The Maryland corporation invests primarily in high-qualitydistribution warehouses and other industrial assets that are leased tocreditworthy corporate tenants across the U.S.
Industrial Property is selling up to $450.0 million of commonshares in its primary offering at a price to the public of $10.44 per class Ashare and $9.83 per class T share; and up to $150.0 million of common sharespursuant to its distribution reinvestment plan at a price to stockholders of$9.92 per class A share and $9.83 per class T share.
The company plans to invest about 89.7% to 91.3% of thegross offering proceeds to acquire real property, debt and other investments,assuming that 45% of the primary offering gross proceeds come from sales ofclass A shares and 55% come from sales of class T shares. About 86.8% to 89.1%of the gross offering proceeds will be invested if primary offering grossproceeds come from sales of class A shares, according to the filing.
