Charter units exchanging $4.75B of debt

Charter Communications Inc.-owned Charter Communications Operating LLC and Charter Communications Operating Capital Corp. filed a registration statement Oct. 6 in connection with a $4.75 billion senior notes exchange offer.

The companies are offering to exchange $1.0 billion of new 3.750% senior secured notes due 2028, $1.25 billion of 4.200% senior secured notes due 2028 and $2.5 billion of new 5.375% senior secured notes due 2047 for like principal amounts of virtually identical unregistered notes.

The companies will not receive any cash proceeds from the exchange offers, the expiration date of which was not disclosed.
