Revolution inks deal to acquire Jones Energy for $201.5M

Revolution II WI Holding Co. LLC will acquire Jones Energy II Inc. in an all-cash transaction priced at approximately $201.5 million.

Under the merger agreement, Jones Energy stockholders will get about $14.11 for each Jones Energy Class A common share or each Jones Energy Holdings LLC unit, according to a Dec. 6 news release. The acquisition is scheduled to close in the first quarter of 2020.

Evercore and TD Securities USA LLC acted as financial advisers, while Baker Botts LLP acted as legal counsel for Jones Energy. Kirkland & Ellis LLP served as legal counsel for Revolution.

Jones Energy develops and acquires oil and natural gas properties in the Anadarko Basin of Oklahoma and Texas. Revolution is an affiliate of private-equity funded Mountain Capital Partners LP, which has approximately $1.0 billion in assets under management.
