Shareholders reject proposal requiring Prudential Financial chairman to be independent

PrudentialFinancial Inc. shareholders rejected a shareholder that would require theboard chairman, whenever possible, to be an independent board member.

Shareholders voted on the proposal at the annual meetingheld May 10.

The board had unanimously recommended voting against theproposal, stating that it ought to retain the flexibility to appoint the bestperson to serve as chairman, whether that person is an independent director orthe CEO.
