Williams' appointment, subjectto her re-election to the board, is effective immediately after the company'sannual stockholder meeting April 19.

The Cincinnati-basedcompany said Williams will succeed James Hackett, who his resignation March 10 tobecome chairman of Ford Smart Mobility LLC, a unit of Ford Motor Co.

Williams has been on theboard since 2008 and served as lead director since 2014. Her backgroundincludes being CFO for Orbitz Worldwide Inc. and Equity Office Properties Trust.
