US deals through July 15

S&P Global MarketIntelligence provides a wrap-up of media and communications deal announcementsand completions from July 11 to July 15.

M&A Media

*Online auctioneer eBay Inc.agreed to acquireTicket Utils, anindependent provider of software that allows large ticket sellers to manageinventory and distribution. According to a July 14 official blog post, TicketUtils will join eBay's StubHub platform, the largest ticket marketplace in theU.S.

*Amazon.com Inc.bought , a firm whichprovides an integrated development environment in the cloud. Cloud 9 will jointhe Amazon Web Services team, and will continue to operate as usual, accordingto a July 14 post on the official Cloud9 blog. Cloud9's core development teamis in Amsterdam while its main office is in San Francisco. Founded in 2010, theAccel and Atlassian-backed company has close to half a million registered users.

*Toy maker Hasbro Inc. boughtIrish animation company Boulder Media. Boulder will continue making animatedseries for third-party clients while producing animation projects for Hasbrobrands, according to a July 13 news release. It will also keep its brand, withits team reporting to Stephen Davis, head of Hasbro's entertainment andconsumer products licensing division.

*Lions Gate Entertainment Corp.bought a stake inproduction company Primal Media. Under the deal, Lions Gate will distribute Primal Media'scontent worldwide as well as adapt formats owned by Primal Media for the U.S.and worldwide market. Primal Media, which will continue to develop and produceunscripted programs in the U.K., will work with Lions Gate's alternativeprogramming team in the U.S. to adapt U.S. formats for the U.K., the companysaid July 13. Primal Media was formed by Gogglebox founders, format creatorsand executive producers Mat Steiner and Adam Wood.

* Asexpected, AMC EntertainmentHoldings Inc. clincheda definitive agreement to acquireLondon-based Odeon & UCI Cinemas Group from investment firm Terra FirmaCapital Partners Ltd. for about £921 million. The deal's price is composed of£500 million of equity, 75% of which will be in cash and 25% in shares; £407million of net debt as of March 31, which will be refinanced at the deal'sclosing; and £14 million of employee incentive costs, according to a July 12news release. Upon deal completion, Odeon & UCI, Europe's largest theateroperator, will become a unit of AMC. Odeon & UCI will keep its Londonheadquarters and brand names. After the deal closes, the combined company willoperate 627 theaters and more than 7,600 screens in eight countries.

*EBay will acquireSalesPredict, an Israeli firm that uses advanced analytics to predict customerbuying behavior and sales conversion. The online auctioneer said July 11 thatthe deal willsupport its artificial intelligence, machine learning and data science efforts.SalesPredict will contribute to the data processing and enrichment portion ofeBay's structured data initiative, specifically in relation to inventoryinsights.

*WME IMG Holdings LLCsaid it would acquiremixed martial arts organization Ultimate Fighting Championship. The U.S.-basedsports and entertainment conglomerate will assume operational control of ZuffaLLC-owned UFC, which produces more than 40 live events annually and ranks asthe top PPV event provider. WME-IMG owner Silver Lake Partners and KKR &Co. LP will join the sports/representation company as new strategic investors,along with MSD Capital LP and MSD Partners LP, which will provide preferredequity financing. The transaction is reportedly valued at around $4 billion.

*Network service provider EarthlinkHoldings Corp. acquiredretail management consulting firm Boston Retail Partners LLC. The is a part of EarthLink'sstrategy to offer in-depth consultation and end-to-end technology support toretail clients, the company said July 14. Boston Retail Partners has 40employees.
