Microsoft nominates GlaxoSmithKline CEO to board; IBM adds director

S&P Global Market Intelligence presents a rundown of recent board changes in the U.S. technology, media and telecommunications industries.

* Vonage Holdings Corp. named Jan Hauser an independent director of the company. Hauser joins 10 additional directors, nine of whom are also independent. Hauser was chief accounting officer of General Electric Co. from April 2013 to September 2018. Prior to joining GE, Hauser was a senior partner in the National Office of PricewaterhouseCoopers.

* New York Media LLC CEO Pam Wasserstein will join Vox Media Inc.'s board after the media companies said they agreed to merge. The merger will combine New York magazine and five other digital brands with content sites such as Vox, The Verge and Recode under a single company, which will retain the name Vox Media. The transaction, financial terms of which were not disclosed, is expected to close later this fall, subject to customary closing conditions.

* Sam Yagan resigned as a member of Match Group Inc.'s board. Yagan's decision to resign was not the result of any disagreement with the company on any matter relating to the company's operations, policies or practices. Match Group elected Sharmistha Dubey, the company's president, as a member of the board to fill the vacancy created by Yagan's departure.

* Semiconductor company Maxim Integrated Products Inc. named Mercedes Johnson to its board and audit committee. Johnson most recently was interim CFO of Intersil Corp.

* International Business Machines Corp. named former Vanguard Group Inc. CEO and Chairman F. William McNabb III to its board. McNabb's appointment brings the number of directors to 13.

* Michael Zeisser joined the board of LendingClub Corp. and will serve on the nominating and corporate governance committee and the compensation committee, the company said. Until April 2018, Zeisser was chairman of U.S. investments for Alibaba Group Holding Ltd. and led the company's strategic investments outside of Asia.

* New Media Investment Group Inc. appointed Mayur Gupta and Maria Miller as independent directors to the company's board, the company said. Gupta is currently chief marketing officer at food-tech company Freshly Inc. Miller most recently was chief marketing officer for Bahamas Paradise Cruise Line.

* Microsoft Corp. nominated GlaxoSmithKline PLC CEO Emma Walmsley to its board of directors. Walmsley was appointed CEO of GSK in April 2017 and has been a member of GSK's corporate executive team since 2011. Charles Noski, former vice-chairman of AT&T Inc., and Helmut Panke, former chairman of the board of management at BMW AG, will not seek reelection to the Microsoft board at the company's annual shareholder meeting Dec. 4.
