Verizon reports final results of tender offers, exchange notes

Verizon Communications Inc. on Dec. 14 reported the final results of its tender offers and consent solicitations to purchase up to $1 billion of the 31 outstanding series of notes for Verizon and certain of its subsidiaries.

As of Dec. 13, all conditions to the tender offers and consent solicitations were deemed satisfied or waived by Verizon. The aggregate purchase price of the notes accepted by Verizon is $285.1 million.

Verizon also reported the final results of its private exchange offers and consent solicitations for 18 series of notes.

As of Dec. 13, the minimum issue condition was satisfied with respect to the new notes due 2029 and the new notes due 2032 but was not satisfied with respect to the new notes due 2022.

Verizon has accepted all old notes validly tendered and not validly withdrawn at or prior to the expiration date.
