Financial details of the transaction were not disclosed.

Bethesda, Md.-based Omnitec offers services including enterprise technology and advanced engineering to the defense and federal communities.

Gryphon provides digital engineering, technological services and solutions to U.S. government organizations that have a national security mission.

Kirkland & Ellis was legal adviser while BDO was financial adviser to Gryphon. Greenberg Traurig was legal adviser and Houlihan Lokey was financial adviser to Omnitec.
