County Bancorp ups minimum number of directors on board to 10

County Bancorp Inc.'s board on Jan. 17 amended the Manitowoc, Wis.-based company's bylaws, including changing the minimum number of directors on the board of directors from one to 10.

A Form 8-K described the amendments, which include clarifying that directors are elected by a plurality of votes cast, which reflects the requirements of the Wisconsin Business Corporation Law and the voting standard that has been used by the company.

Also, there is a new provision regarding forum selection stating that, unless the company consents in writing, Wisconsin courts are the sole and exclusive forum for certain stockholder actions.
