Assembly Biosciences raises $143.7M via common stock, warrants offering

Assembly Biosciences Inc. raised about $143.7 million in gross proceeds from an offering of common stock and warrants.

The Carmel, Ind.-based biotech sold 6,287,878 common shares at $16.50 apiece in the offering, including full exercise by underwriters of their option to purchase an additional 1,136,363 shares.

Moreover, Assembly Biosciences also sold prefunded warrants to buy up to 2,424,242 common shares to a certain existing investor at about $16.50 per warrant.

The company plans to use the net proceeds from the offering to fund clinical trials, nonclinical studies, research and development, and for general corporate purposes.

Jefferies LLC, SVB Leerink LLC and William Blair & Co. LLC were the joint book-running managers, while Mizuho Securities USA LLC and Robert W. Baird & Co. Inc. were the co-managers for the offering.
