According to an amended Schedule 13D filed March 29,Cinemark Holdings on March 17 received 753,598 newly issued National CineMediaunits in accordance with the 2015 annual adjustment through its wholly ownedsubsidiary Cinemark USA Inc.

Further, no payments were made by or on behalf of any partyin exchange for the National CineMedia units received.
