Ameris Bancorp registers shares on behalf of selling shareholders

Moultrie, Ga.-based Ameris Bancorp filed a prospectus which covers the resale of up to 944,586 shares of its common stock by selling shareholders William Villari and The Villari Family Gift Trust.

The proposed maximum aggregate offering price per unit is $52.50, or a total of $49.6 million, estimated solely to calculate the registration fee.

The shares to be resold are those that Ameris issued to the selling shareholders as part of the US Premium Finance Holding Co. acquisition.

On Jan. 31, Ameris sold 830,301 common shares to Villari and the trust in partial payment for the remaining 70% of the outstanding shares of the voting and non-voting common stock of US Premium Finance that Ameris did not already hold at the time. Earlier on Jan. 3, Ameris sold 114,285 common shares to Villari, in partial payment for shares of the voting and nonvoting common stock of US Premium Finance owned by Villari.

Villari is the president of the premium finance loan division of Ameris Bank since January 2017, according to the registration statement.
