Chase Bank USA enters into underwriting agreement

ChaseIssuance Trust, Chase Card Funding LLC and Chase Bank USA NA entered into an underwriting agreementwith J.P. Morgan Securities LLCon May 2.

Under the termsof the agreement, J.P. Morgan Securities will serve as an underwriter and asrepresentative of the underwriters named in any applicable terms agreement.

ChaseIssuance Trust, Chase Card Funding and Chase Bank propose to sell notes of theseries, classes and tranches designated in a terms agreement from time to timeduring the period from and including the date of the underwriting agreementthrough the earlier of the next date on which a revised base prospectus isfiled with the SEC, or Aug. 9.

The entitieswill enter into a terms agreement for each issuance of notes during theissuance period. The CHASEseries notes are a series of notes that may be soldand delivered to the underwriters and will consist of class A notes, class Bnotes and class C notes.

Theentities are units of JPMorganChase & Co.
