Broadmark Realty Capital Inc. filed a shelf registration statement for the sale of certain securities from time to time by one or more selling security holders.

The filing covers the resale of 11,359,802 common shares and 7,174,613 warrants by the selling stockholders and the issuance of up to 13,811,676 common shares, which will be issued upon the exercise of the warrants.

The REIT noted that it will receive the proceeds from the exercise of the warrants, subject to certain conditions, but not from the resale of the common shares or public warrants by the selling stockholders.
