Tupelo, Miss.-based BancorpSouthInc.'s shareholders approved all three proposals presented at thecompany's annual meeting,

According to a Form 8-K filed April 27, the companyshareholders approved a proposal that would allow the company to narrow itsboard size range andallow shareholders to remove a director without cause.

73,555,044 shareholders voted in favor of the proposal,while 898,790 voted against and 182,787 abstained.

In addition, shareholders approved all eight companynominated directors during the meeting and voted in favor of designating thestate or federal court of general jurisdiction in Lee County, Miss., as theexclusive forum for certain legal actions.
