BofA shareholders oppose proposal on clawback amendment for executive pay

said that 94%of shareholders voted against a shareholder proposal to amend a general clawbackfeature on the company's executive compensation program.

Theamendment sought to set aside a substantial portion of the executive officers' annualcompensation to be deferred and forfeited, to pay for any financial penalty arisingfrom a violation of the law.

Meanwhile,shareholders approved the management advisory proposal on executive compensation.
