Additional deal-related suits filed against Chemical, Talmer

A purportedTalmer Bancorp Inc.shareholder filed a complaint against Talmer, Chemical Financial Corp. and several individuals in theU.S. District Court for the Eastern District of Michigan on April 6, andanother complaint was filed by another purported Talmer shareholder on April 25.

Accordingto a Form 10-Q filed April 27 by Chemical, both complaints allege, among other things,the issuance of materially incomplete and misleading disclosures in the FormS-4 relating to the proposed Talmer/Chemical merger.

Bothcomplaints seek to stop the consummation of the proposed transaction.

Talmer,Chemical and the individual defendants all believe that the claims assertedagainst each of them are without merit and intend to vigorously defend againstthe lawsuits.

On Feb. 29,Talmer disclosed the filing of putative shareholder class- andderivative-action lawsuits related to the proposed merger.
