Sioux Falls, S.D.-based Meta Financial Group Inc. has requested that the SEC consent to the withdrawal of a registration statement on Form S-3, which was initially filed Jan. 21 and declared effective March 16.
In the filing, the company registered for the resale of up to 266,430 common shares by selling stockholders from time to time. The proposed maximum aggregate price of the offering was approximately $10.1 million, which was estimated solely to calculate the registration fee.
Meta Financial Group is seeking withdrawal of the registration statement because the selling stockholders who held the shares registered are eligible to sell those securities under Rule 144 of the Securities Act. In its withdrawal request, the company confirmed that no securities were sold pursuant to the registration statement.
