GenOn removes rights offering from reorganization plan

GenOn Energy Inc., GenOn Americas generation and certain of their subsidiaries filed an amended joint plan of reorganization and related disclosure statement with the U.S. Bankruptcy Court for the Southern District of Texas, according to an Oct. 6 Form 8-K filing.

The amended plan and disclosure statement remove the previously-contemplated rights offering, consistent with the amended backstop letter and the amendment to the restructuring support and lock up agreement between the companies, NRG Energy Inc., and certain holders representing more than 93% of their outstanding senior unsecured notes.

The original backstop commitment letter was included in the initial joint plan of reorganization, which was submitted to the bankruptcy court in June.
