VMware's unit starts tender offer for buyback of Carbon Black shares

VMware Inc. subsidiary Calistoga Merger Corp. on Sept. 6 initiated a cash tender offer to buy back Carbon Black Inc.'s outstanding common stock shares valued at $0.001 per share, for $26 per share.

The offer will expire at midnight ET on Oct. 3 and is subject to customary conditions. Extensions will be announced by 9 a.m. on the next working day.

The financial adviser and legal counsel for VMWare were J.P. Morgan Securities LLC and Morrison & Foerster LLP. The financial advisor and legal counsel for Carbon Black were Morgan Stanley & Co. LLC and Goodwin Procter LLP.
