Greenland Hong Kong to issue US$450M notes

Greenland HongKong Holdings Ltd. plans to issue US$450.0 million of notes that itdrew from its US$2.00 billion medium-term note , subject to certain conditions.

The company will issue the bonds only to professionalinvestors on July 28 with an annual interest of 3.875% due July 28, 2019,payable semiannually in arrears on Jan. 28 and July 28 in each year.

The company signed a subscription deal with Credit Suisse Securities(Europe) Ltd., The Hongkong and Shanghai Banking Corp. Ltd., China MerchantsSecurities (HK) Co. Ltd., Haitong International Securities Co. Ltd. and UBS AGHong Kong Branch in connection with the issuance.

The notes will be listed on the Hong Kong bourse, subject toapproval.

Greenland Hong Kong plans to use the net proceeds from theproposed issuance to refinance certain of its existing indebtedness.

Credit Suisse and HSBC serve as the joint globalcoordinators, joint lead managers and joint bookrunners. China MerchantsSecurities, Haitong and UBS are joint lead managers and joint bookrunners.
