INC Research Holdings Inc.'s board approved the company's amended bylaws related to the voting standard for uncontested elections of its directors.

Under the amendments, uncontested elections of directors were changed to majority voting from plurality voting, allowing a director nominee to be elected to the board only if the number of votes cast for the nominee exceeds the number of votes against the nominee.
