Imprivata discloses termination fee in deal with Thoma Bravo affiliate

ImprivataInc. will pay a termination fee of $13.6 million to a affiliate iftheir deal does notpush through under certain circumstances.

Per terms of the deal, the Thoma Bravo affiliate willacquire Imprivata for approximately $544 million. The termination fee will bepaid if the deal ends in connection with superior proposals, or if the merger isnot completed by Dec. 10, according to a regulatory filing.
