Farmland Partners Inc. priced an offering of its 6.00% series B participating preferred stock for roughly $131.3 million in gross proceeds.
The public offering comprises 5,250,000 shares of the newly designated stock, priced at $25.00 apiece, and comes with a 30-day underwriters' option to buy up to 787,500 additional shares. The shares have an initial liquidation preference of $25.00 per share.
Farmland Partners will inject the net proceeds into its operating partnership in exchange for newly designated series B participating preferred units of limited partnership interest. In turn, the operating partnership will use the funds for future farmland purchases.
Raymond James and Jefferies are the joint book-running managers for the offering, which is slated to close Aug. 17. Morrison & Foerster LLP is Farmland's legal counsel, and Latham & Watkins LLP is the underwriters' legal counsel.
