CNL Healthcare Properties II shareholders OK dissolution plan

CNL Healthcare Properties II Inc. shareholders approved a proposal for its dissolution plan, which aims to maximize shareholder value by selling assets, distributing net proceeds to stockholders and paying debts.

Of all the votes cast at the Sept. 10 annual shareholder meeting, 2,891,365 were in favor of the proposal, 81,175 were against it, and 41,590 were abstentions.

Shareholders of the nontraded healthcare real estate investment trust also approved an amendment to exclude the distribution of interests in a liquidating trust from the definition of a roll-up transaction and an amendment to eliminate the requirement in its charter to distribute to stockholders a specific annual report containing audited financial statements, related-party and other information.

However, a proposal to remove conditions and limitations on the exculpation and indemnification of its current or former directors and its adviser and its affiliates, among other things, was not approved.
