Charter units offer to exchange 6 series of notes

Charter Communications Inc. units Charter Communications Operating LLC and Charter Communications Operating Capital Corp. commenced private exchange offers for $15.5 billion of 6 series of senior secured notes.

The units are offering to exchange new registered notes in six series for virtually identical unregistered notes, according to an Oct. 7 SEC filling. The series of notes covered under the offer are: $2 billion of 3.579% senior secured notes due 2020; $3 billion of 4.464% senior secured notes due 2022; $4.5 billion of 4.908% senior secured notes due 2025; $2 billion of 6.384% senior secured notes due 2035; $3.5 billion of 6.484% senior secured notes due 2045; and $500 million of 6.834% senior secured notes due 2055.

The units will not receive any cash proceeds from the exchange offer, the expiration date of which was not disclosed.

The Bank of New York Mellon Trust Co. NA is serving as the exchange agent for the offer.
