Caterpillar Financial Services issues notes in exchange offer

CaterpillarFinancial Services Corp. has issued about $366.3 million aggregateprincipal amount of 1.931% series H medium-term notes due 2021 in connectionwith the early settlement of its offers to exchange certain of its outstanding series ofmedium-term notes for a combination of new notes and cash.

In connection with the issuance of the new notes, thecompany entered into a registration rights agreement with the dealer managers,which will give holders of the new notes certain exchange and registrationrights with respect to the new notes.

The dealer managers were Citigroup Global Markets Inc.,Merrill Lynch Pierce Fenner & Smith Inc., Société Générale, BarclaysCapital Inc., J.P. Morgan Securities LLC, BNY Mellon Capital Markets LLC,Deutsche Bank Securities Inc., ING Financial Markets LLC, Lloyds SecuritiesInc., Loop Capital Markets LLC, Mizuho Securities USA Inc. and Williams CapitalGroup LP.
