DHI Group Inc.appointed Jennifer Deason, executive vice president at Bain Capital, to its boardas part of an agreementwith Barington Capital Group LP to avert a proxy battle.

Under the agreement, the parties had agreed to pick a mutuallyacceptable director to fill the vacancy created by the resignation of Peter Ezerskyfrom the board.

The appointment expands the DHI Group's board to 10 members,eight of whom are independent, the company said July 7.
