Hennessy Capital blank-check company files for $200M IPO

A blank-check company sponsored by technology investor Hennessy Capital LLC filed for an IPO of 20.0 million units at $10.00 apiece.

Hennessy Capital Investment Corp. VI granted the underwriters a 45-day overallotment option to acquire up to 3.0 million additional units.

Each unit comprises one class A common share and one-fifth of one redeemable warrant, with each whole warrant exercisable at $11.50 per share.

The company's sponsor, Hennessy Capital Partners VI LLC, and certain funds and accounts managed by subsidiaries of BlackRock Inc. and Arena Capital Advisors LLC, agreed to buy 4,666,667 warrants at $1.50 apiece in a private placement that will close simultaneously with the IPO closing.

The company applied to have its public shares listed on The Nasdaq Capital Market under the HCVIU ticker. Once the securities comprising the units begin separate trading, the class A common stock and warrants are expected to be listed under the symbols HCVI and HCVIW, respectively.

Citigroup Global Markets Inc. and Barclays Capital Inc. are acting as global coordinators, joint bookrunners and representatives of the underwriters for the offering.
