Exacerbated by political unknowns and turmoil caused by the continued global pandemic, the consideration and inclusion of ESG factors in M&A analysis is increasingly important. While there isn’t a clear cut, universal methodology for ESG data analysis within the M&A context, the integration of such metrics and information is vital when considering the impact they may have on potential opportunities and company valuations.

Sonia Kim is the Global Head of Product in S&P Global’s Sustainable1 organization. She is responsible for enterprise-wide ESG product initiatives including the development of new data and analytics delivered on key delivery platforms, integration of S&P Global’s ESG assets and capabilities across divisions, and working with third party partners to enhance client facing channels with ESG intelligence. In her previous role, she served as the head of Credit Risk Solutions’ RatingsDirect business, the flagship platform delivering S&P Global Ratings’ credit ratings and research.
Prior to joining S&P Global, Sonia led product development and commercial management of the Fitch Solutions product suite and led Product Strategy and Development for various business and product lines and participated in Strategy, M&A and international expansion efforts at Moody’s. She began her career as a financial analyst at a publicly traded healthcare solutions firm.
Sonia graduated from Barnard College with a degree in Economics and received her M.B.A. from NYU Stern School of Business in International Finance, Marketing, and Organizational Management.

Neema is a Director in the PwC Deals practice with over 13 years of experience providing accounting and financial reporting, environmental, social, governance (ESG), and sustainability advice. Neema leads the PwC ESG in Deals team that supports clients that are pursuing capital markets transactions (Acquisitions, Divestitures, and IPO Readiness). Neema provides clients with strategic advice in buy/sell-side due diligence on target's ESG risks and opportunities, sustainability practices, AROs and Environmental Liability accounting practices, health and safety metrics, and disclosures that can impact business performance and deal value.
Neema has advised numerous fortune 500 public companies and supports domestic and global clients across many industry sectors (including the industrial products, manufacturing, chemicals, metals, mining, energy, automotive, private equity, real estate, and pharmaceuticals) by reviewing processes, systems, controls, potential risks and exposures, and management's key assumptions in clients' and potential targets’ accounting for asset retirement and environmental obligations and broader ESG risks.
Neema leads environmental specialist support to financial audit teams including the planning, implementation and documentation of tailored audit procedures (client environmental reserves, and asset retirement obligation portfolios have ranged from $1 million to $1 billion). Neema has recently advised several Fortune 100 companies in determining the appropriate accounting for their environmental liability reserves and AROs for their proposed spin-offs and divestitures.
