Alphabet Inc.'s Google LLC agreed to acquire cybersecurity company Mandiant Inc. for $23.00 per share, according to a March 8 news release.
The all-cash deal is valued at about $5.4 billion, inclusive of Mandiant's net cash.
The companies expect to close the deal later this year, subject to closing conditions, including approval by Mandiant's shareholders and regulators. On completion, Mandiant will become part of Google Cloud.
Google Cloud CEO Thomas Kurian said the acquisition will enhance the security operations suite and advisory services of the company.
Goldman Sachs & Co. LLC is the exclusive financial adviser to Mandiant for the transaction, while Wilson Sonsini Goodrich & Rosati PC is the company's legal adviser. Google did not disclose any advisory details.
