WhiteWater Midstream closes acquisition of Waha storage assets from Enstor Gas

WhiteWater Midstream LLC completed its acquisition of Waha gas storage assets located in northwest Texas, near the Waha Hub, from private equity-backed Enstor Gas LLC for an undisclosed amount.

The acquired assets will be held by Waha Gas Storage LLC, a newly formed joint venture entity owned by Whistler Pipeline LLC and Agua Blanca pipeline owner Delaware Basin Residue LLC, according to a Feb. 16 news release. The gas storage facilities will be linked to Agua Blanca's Waha header network and will provide storage capacities to customers of the Agua Blanca and Whistler gas pipelines.

The storage assets have the capacity to store roughly 10 Bcf of natural gas upon full development and comprise six existing underground storage caverns and permits for five additional caverns. The gas storage facilities are scheduled to start service in the fourth quarter, subject to customary regulatory and other approvals.

Willkie Farr and Gallagher LLP represented Enstor, while Sidley Austin LLP provided legal counsel to WhiteWater.

ArcLight Capital Partners LLC-backed Enstor is a U.S.-based independent natural gas storage operator. Austin, Texas-based midstream company WhiteWater operates the Agua Blanca and Whistler pipelines and is partnered with several private equity funds. Whistler Pipeline LLC is a joint venture owned by Whitewater, MPLX LP, Ridgemont Equity Partners and a joint venture between affiliates of Stonepeak Infrastructure Partners and West Texas Gas Inc.
