GTT adds board members to comply with new priming debt facility terms

GTT Communications Inc. announced in a pair of Form 8-K filings dated Jan. 7 and Jan. 12 that it has added three new members to its board of directors, installing them as both directors and as members of the board's strategic planning committee. The company also placed an observer on its strategic planning committee. The additions were made as part of an agreement that netted the company a new $275 million priming credit facility.

In the earlier 8-K, the company reported the appointment of Anthony M. Abate and Sherman Edmiston III to its board and to the board's strategic planning committee. Abate, 56, has been chief operating officer of Echo360 since 2007, and has served on the boards of Southeastern Grocers, Tops Markets and Denbury, Inc. Edmiston, 58, is managing member of HI CapM Advisors, and is on the boards of Arch Coal, Inc., Arko Corp., Key Energy Services, Inc. and Mallinckrodt SpecGX.

Scott Vogel was installed as a non-voting observer on the strategic planning committee. Vogel, 45, is a managing member of Vogel Partners, LLC, and was previously a managing director at Davidson Kempner Capital Management. He is currently on the boards of Avaya Holdings Corp., Bonanza Creek Energy, Inc., Contura Energy Inc., and CBL & Associates Properties, Inc.

In the latter 8-K, GTT reported appointing Eugene Davis to the board as well as to the strategic planning committee. Davis, 65, has been chairman and CEO of PIRINATE Consulting Group, LLC since 1999, and is on the boards of FTS International, Inc. and Hycroft Mining Corporation.

GTT provides cloud networking services to multinational enterprises, carriers and government customers.
