Express Scripts to acquire medical benefit management company in $3.6B deal

Express Scripts Holding Co. agreed to acquire eviCore healthcare for $3.6 billion.

Express Scripts is acquiring the privately held medical benefit management company from its investors, including General Atlantic, TA Associates and Ridgemont Equity Partners.

Express Scripts anticipates the acquisition to be accretive to adjusted EPS, excluding transaction-related expenses and amortization of intangibles, in its first full year of operation.

The deal is subject to customary regulatory approvals and closing conditions and is expected to close in the fourth quarter.

Lazard and TripleTree LLC serve as financial advisers to Express Scripts, while J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC act as financial advisers to eviCore.
